I want to clarify the following in light of your email to Gregory

Tamkin copied below:

1. I am not the Managing Director and CEO of Seed Intellectual

Property Law Group PLLC ("Seed IP"). I held that position prior to February

2004.

2. Seed IP has never represented you. You were a client of Seed and

Berry LLP. Some but not all of the partners of Seed and Berry LLP

became principals in Seed IP when Seed and Berry LLP was disolved on

December 31, 1999. Further, the attorneys at Seed and Berry who represented

you have had no affiliatoin with Seed IP.

3. Seed IP is not respresenting you now. When you approached me I

concerning representation I advised you of potential conflict of interest

issues in view of Seed IP having done work for Stairmaster. I agreed

to see if Stairmaster would waive any conflicts, which they declined to

do.
